You agree not to use the Site in ways that violate applicable law, interfere with Site operations, introduce malicious code, scrape or copy content at scale, or otherwise misuse the Site or Site Content.

Do not submit confidential, proprietary, trade secret, or sensitive personal information through public-facing forms unless specifically instructed under a separate written agreement.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of New York. Disputes shall be brought exclusively in courts located in New York County, New York, or the Southern District of New York, as applicable.

16. Dispute Resolution

Before initiating legal proceedings, parties agree to attempt good-faith negotiation for 30 days following written notice of dispute.

17. Export and Sanctions Compliance

You represent and warrant that you are not located in, or a resident or national of, a comprehensively sanctioned country and are not on U.S. restricted party lists, and you agree to comply with applicable export control and sanctions laws.

18. Severability and Waiver

If any provision is held invalid or unenforceable, remaining provisions remain in effect. Any waiver is limited to the specific instance and does not waive other rights.

19. Termination and Suspension

xVector may suspend or terminate access to the Site at any time in its sole discretion.

20. Force Majeure

xVector is not liable for delay or failure in Site performance caused by events beyond reasonable control.

21. Survival

Provisions that by their nature should survive termination or expiration will survive.

22. Entire Agreement

These Terms and the Privacy Policy constitute the entire agreement between you and xVector regarding the Site.

23. Assignment

You may not assign these Terms without prior written consent. xVector may assign these Terms without restriction.
